Terms of Service

Effective date: September 27, 2026

These Terms of Service ("Terms") govern your interaction with Kohei Matsuzawa, operating as AMYS Studio ("AMYS Studio", "we", "us", or "our") in connection with MedTech Structure, related documentation, support, and Marketplace activities.

By purchasing, installing, accessing, or using MedTech Structure, you agree to these Terms, the applicable MedTech Structure Commercial License, and any mandatory terms imposed by HubSpot or the HubSpot Marketplace.

If you do not agree to these Terms, do not purchase, install, or use MedTech Structure.

1. Provider

MedTech Structure is provided by:

Additional legally required business information will be published where required by applicable law.

2. MedTech Structure

MedTech Structure is a HubSpot website theme intended primarily for B2B medical device, MedTech, healthcare technology, and related professional organizations.

The theme provides website presentation, content organization, templates, modules, sections, styling controls, and related documentation.

MedTech Structure does not itself provide medical, legal, regulatory, clinical, compliance, or certification services.

3. Marketplace purchase and installation

Where MedTech Structure is purchased or installed through the HubSpot Marketplace:

payment processing may be handled by HubSpot or another Marketplace-authorized provider;
purchase, installation, entitlement, transfer, and account-level access may be subject to HubSpot's applicable terms and Marketplace rules;
availability of Marketplace features may depend on the customer's HubSpot subscription, account configuration, permissions, and platform changes; and
AMYS Studio does not control HubSpot's billing systems, account permissions, service availability, or Marketplace infrastructure.

Any refund, payment dispute, tax treatment, or transaction process handled by HubSpot remains subject to the applicable HubSpot or Marketplace terms.

4. License

Use of MedTech Structure is governed by the MedTech Structure Commercial License supplied with the theme.

The Commercial License defines, among other matters:

the licensed HubSpot account;
permitted use and customization;
agency and contractor use;
transfer conditions;
restrictions on redistribution and resale;
ownership;
content and regulatory responsibility; and
applicable limitations relating to support and updates.

These Terms do not expand the license rights granted by the Commercial License.

If these Terms and the Commercial License address the same issue differently, the Commercial License governs the use, copying, modification, distribution, and licensing of the theme itself, unless mandatory law or HubSpot Marketplace rules require otherwise.

5. Customer responsibilities

You are responsible for:

maintaining appropriate access to your HubSpot account;
configuring the theme for your organization;
supplying your own approved text, images, forms, links, documents, and other content;
reviewing product claims, specifications, evidence, metrics, regulatory statements, standards, certifications, and quality information;
confirming that your published content is lawful, accurate, current, and properly authorized;
obtaining appropriate internal, legal, regulatory, clinical, privacy, and accessibility review where required;
configuring consent, forms, CRM workflows, redirects, file delivery, and other HubSpot functionality used by your website;
maintaining backups or recoverable copies where appropriate; and
testing the finished website before publication.

You must not rely on neutral starter content, demo content, structural fields, or example layouts as evidence that any medical, technical, regulatory, or commercial statement is true.

6. Prohibited use

You may not use MedTech Structure or related support services:

in violation of applicable law;
to infringe intellectual property or other third-party rights;
to distribute malware or malicious code;
to obtain unauthorized access to systems or accounts;
to misrepresent AMYS Studio, HubSpot, or another party;
to imply that MedTech Structure certifies regulatory compliance, clinical validity, legal compliance, or accessibility compliance;
to redistribute or resell the theme in violation of the Commercial License; or
to send passwords, access tokens, patient information, protected health information, or other sensitive data through ordinary support channels unless an appropriate secure process has been expressly agreed.

7. Documentation

AMYS Studio may provide setup instructions, usage documentation, troubleshooting guidance, and release information.

Documentation is intended to help customers use MedTech Structure but does not override:

the Commercial License;
mandatory HubSpot platform requirements;
HubSpot documentation for native platform functionality; or
applicable law.

Customers remain responsible for verifying platform behavior in their own HubSpot account.

8. Support

Support availability, channels, languages, business hours, and any expected response targets are those stated in the current Marketplace listing or official MedTech Structure documentation.

Unless expressly stated otherwise:

support does not include custom development;
support does not include legal, medical, regulatory, or compliance advice;
support does not guarantee a specific resolution time;
support does not guarantee compatibility with every third-party integration;
support does not include administration of the customer's HubSpot account; and
support does not require AMYS Studio to access customer credentials or sensitive information.

Customers should provide the theme version, affected template or module, browser information, and sufficient non-sensitive troubleshooting details.

9. Updates and platform changes

AMYS Studio may update MedTech Structure to improve compatibility, usability, security, documentation, or functionality.

However, unless expressly promised in the Marketplace listing:

no particular update schedule is guaranteed;
no future feature is guaranteed;
no lifetime-update commitment is created;
existing customized content is not guaranteed to change when theme defaults are updated; and
compatibility with every future HubSpot platform change cannot be guaranteed.

HubSpot may change its platform, editor, APIs, Marketplace rules, supported features, or subscription capabilities independently of AMYS Studio.

10. Third-party services

MedTech Structure is designed to operate with HubSpot and may link to or interact with other third-party services selected by the customer.

AMYS Studio does not control and is not responsible for:

HubSpot account availability;
third-party hosting;
third-party forms or integrations;
external scripts;
customer-installed applications;
third-party analytics;
third-party accessibility tools;
third-party privacy or consent tools; or
external content or services.

Third-party services remain subject to their own terms, privacy policies, availability, and technical requirements.

11. Intellectual property

MedTech Structure, its original source code, original documentation, branding, and original design components are owned by AMYS Studio or used subject to applicable third-party rights.

Purchasing MedTech Structure grants a license to use the theme as described in the Commercial License. It does not transfer ownership of the original theme.

HubSpot, its platform, trademarks, native components, and related technology remain the property of HubSpot or its licensors.

Customer-provided content, trademarks, data, imagery, and materials remain the responsibility and property of their respective owners.

12. No professional advice or certification

MedTech Structure is a website presentation product.

AMYS Studio does not, through the theme or its documentation:

provide medical advice;
provide legal advice;
provide regulatory advice;
validate clinical evidence;
verify product claims;
determine regulatory status;
certify standards or quality systems;
guarantee legal compliance;
guarantee accessibility compliance; or
certify that a customer's published website meets any jurisdiction-specific requirement.

Customers must obtain appropriate professional review for their own content and operations.

13. Disclaimer of warranties

To the maximum extent permitted by applicable law, MedTech Structure and related documentation and support are provided on an "as is" and "as available" basis.

AMYS Studio does not warrant that:

the theme will operate without interruption or error;
every future HubSpot change will remain compatible;
every third-party integration will work;
the theme will produce a particular commercial, marketing, conversion, or revenue result;
the theme will satisfy every legal, regulatory, accessibility, or industry-specific requirement; or
all customer-authored content will display correctly without configuration or review.

Nothing in these Terms excludes warranties or consumer rights that applicable law does not permit to be excluded.

14. Limitation of liability

To the maximum extent permitted by applicable law, AMYS Studio will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or relating to MedTech Structure, including loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings.

AMYS Studio is not responsible for losses caused by:

inaccurate or unlawful customer content;
unsupported modifications;
third-party code or integrations;
HubSpot outages or platform changes;
customer account configuration;
misuse of forms, data, credentials, or sensitive information; or
failure to complete appropriate legal, regulatory, clinical, security, or accessibility review.

Where applicable law does not permit a limitation or exclusion, liability will be limited only to the extent permitted by that law.

15. Privacy

Personal information handled by AMYS Studio in connection with MedTech Structure is governed by the current AMYS Studio Privacy Policy.

HubSpot and other third-party services process information under their own privacy policies.

16. Suspension or termination of support

AMYS Studio may refuse or discontinue direct support where reasonably necessary because of:

abusive or threatening conduct;
fraud or suspected fraud;
misuse of the support channel;
requests involving unlawful activity;
unauthorized redistribution of the theme;
repeated requests for access to services outside the purchased product scope; or
security concerns.

This section does not independently cancel Marketplace entitlements where those entitlements are controlled by HubSpot.

17. Changes to these Terms

AMYS Studio may update these Terms when:

applicable law changes;
Marketplace requirements change;
support practices change;
the product materially changes; or
clarification is reasonably necessary.

The current version will be published at the Terms of Service URL used in the MedTech Structure Marketplace listing.

Material changes will apply prospectively to the extent required by applicable law.

18. Governing law

These Terms are intended to be governed by the laws of Japan, without regard to conflict-of-law principles, except where mandatory law requires otherwise.
